AGREEMENT TO OUR LEGAL TERMS

We are BaseballPath LLC, doing business as BaseballPath ("Company," "we," "us," "our"), a company registered in Connecticut, United States, at 96 Old Sea Ln, Old Saybrook, CT 06475.

We operate the website https://www.baseballpath.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

BaseballPath is a baseball recruiting service. On the player and family side, a high-school player or their parent submits baseball metrics, academics, and preferences, and we return a ranked, humanized report of best-fit college programs. On the organization side, travel and recruiting organizations can manage rosters of their player families, generate college-coach outreach email drafts for those families, and track replies from college coaches.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and BaseballPath LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

If you or your organization has a separate written agreement with us (for example, an organization or founding-program agreement), that agreement controls over these Legal Terms to the extent of any conflict, for the matters it covers.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are directed to families of high-school athletes. Players are typically between 13 and 18 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, your parent or guardian must read and agree to these Legal Terms before you use the Services. We do not knowingly permit children under the age of 13 to use the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

BaseballPath helps high-school baseball players and their families find best-fit college programs and manage recruiting outreach. When you submit your baseball metrics, academics, and preferences, we score them with a deterministic rubric, project a realistic college division tier, match you against a database of schools, and return a ranked, humanized report of college programs. For travel and recruiting organizations, the Services also provide tools to manage rosters of player families, generate college-coach outreach email drafts for those families, and track replies from college coaches.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (such as the Health Insurance Portability and Accountability Act (HIPAA) or the Federal Information Security Management Act (FISMA)), so if your interactions would be subjected to such laws, you may not use the Services.

No affiliation. BaseballPath is an independent service. We are not affiliated with, endorsed by, or sponsored by the NCAA, NAIA, NJCAA, or any college, university, athletic conference, or their affiliated organizations. References to schools, conferences, divisions, or coaches are for informational and recruiting purposes only.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use, or, for organization customers, for your internal business use in connection with the Services, only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or, for organization customers, your internal recruiting use.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Your reports

The report we generate for you is provided for your personal recruiting use. You may share your own report with your family, your organization, and college coaches in the ordinary course of your recruiting. You may not resell, redistribute, or use reports or Content to build or improve a competing product or service.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration and profile information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside, or, if a minor, you have received parental or guardian permission and supervision to use the Services; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise, except as expressly permitted; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION AND ACCOUNTS

You may be required to register to use the Services. Accounts are created with an email address and password through our authentication provider, Supabase. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

The optional Google (Gmail) connection described below is a separate feature for creating recruiting drafts and reading college-coach replies. It is not a sign-in or authentication method, and connecting a Gmail account is never required to create or access your BaseballPath account.

5. REPORTS AND NO GUARANTEE OF OUTCOMES

The report and any projections, tiers, rankings, match lists, and narrative insights we provide are informational estimates based on the information you submit and the data available to us. They are not promises or predictions of any specific result.

BaseballPath does not guarantee recruitment, a roster spot, an athletic or academic scholarship, admission to any college or university, contact from any coach, or any other specific recruiting outcome. College recruiting decisions are made solely by the colleges, universities, and coaches involved and depend on many factors outside our control. You are solely responsible for the decisions you make based on your report.

6. EMAIL DRAFTING AND THE GOOGLE / GMAIL CONNECTION

The Services include features that help you draft recruiting outreach emails to college coaches and, if you choose to connect a Google (Gmail) account, place those emails as drafts in your Gmail Drafts folder, send a draft from your own account when you press Send on it, and read college coaches' replies to your recruiting threads.

Your emails are your own. Any outreach emails are your own emails, sent from your own account at your direction. We draft them for you and you review them. Nothing is sent until you press Send, and each press sends one email to the one school in front of you. If you have connected a Gmail account, pressing Send places that email in your Gmail and sends it from your own address; if you have not, you send it yourself from your own mail app. You are solely responsible for the content of the emails you choose to send, for whom you send them to, and for compliance with all applicable laws, including anti-spam laws. We are not responsible for the content you choose to send or for any consequences of sending it.

The Gmail connection is optional and revocable. Connecting your Google account is entirely optional. When connected, we request only the narrow Gmail permission needed to read messages, create drafts, and send a draft you press Send on, and we access only mail related to your college-coach recruiting correspondence. We do not read, use, or store the rest of your mailbox. We use the connection only to provide and improve the recruiting features described here. You can disconnect the Gmail connection at any time from your account settings or from your Google account's security settings. We also offer an alternative, non-OAuth path that relies on a mail-forwarding rule you set up yourself, and both can be turned off by you at any time.

BaseballPath's use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. For full details on how we handle Google user data and college-coach reply data, see our Privacy Policy.

7. PURCHASES AND PAYMENT

Reports are paid. The Reach Out Package is $499, one time. An optional Full Season Add-On is $400 more, or $899 in all. A re-run of your report bought on its own is $149. An optional re-run credit offered at checkout is $75. We may make other offers at other prices, including offers made only by email. Each purchase is a one-time payment. There is no subscription and no recurring charge. We sometimes offer promotional discount codes that lower the price. Promotions are time-limited and may be changed or ended at any time. Prices are subject to change, and the price that applies to your purchase is shown to you before you are charged. If you access the Services through a travel or recruiting organization that has its own agreement with us, that agreement governs payment for your reports, and the pricing in this section may not apply to you.

Payments are processed by our third-party payment processor, Stripe. You agree to provide current, complete, and accurate purchase and account information for any purchase made through the Services. We do not store your full card number; card data is handled by Stripe. You agree to pay all charges at the prices then in effect for your purchases and any applicable taxes, and you authorize us and our payment processor to charge your chosen payment method for such amounts. All payments are in US dollars.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment, and to refuse any order. Refunds are governed by our Refund Policy.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. In particular, the email drafting and outreach features are provided for genuine, individual recruiting correspondence with college coaches. They are not to be used to send bulk, unsolicited, or automated mass mail.

As a user of the Services, you agree not to:
  • Send spam, chain communications, or bulk unsolicited email through or in connection with the Services.
  • Harass, abuse, threaten, or harm any coach, recipient, or other person, or send content that is unlawful, defamatory, or harmful.
  • Systematically retrieve data or other content from the Services to compile a database or directory without our written permission.
  • Trick, defraud, or mislead us or other users, including by impersonating another person or misrepresenting a player's identity, statistics, or academics.
  • Use the Services in a manner inconsistent with any applicable law or regulation, including anti-spam laws.
  • Use any information obtained from the Services to harass, abuse, or harm another person.
  • Use the Services as part of any effort to compete with us or otherwise use the Services or Content for any revenue-generating endeavor or commercial enterprise not expressly permitted.
  • Upload or transmit viruses, or any code designed to interrupt, destroy, or limit the functionality of the Services.
  • Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or use, launch, or engage in any automated system, such as a scraper or bot, except through permitted features.

9. USER GENERATED CONTRIBUTIONS

The Services may invite you to submit content, including your baseball metrics, academics, preferences, profile information, email drafts, and other materials (collectively, "Contributions"). You represent and warrant that your Contributions are accurate, that you own or control the rights necessary to submit them, and that they do not violate these Legal Terms, any applicable law, or the rights of any third party.

You retain ownership of your Contributions. By submitting Contributions, you grant us a license to use, store, and process them as necessary to operate and provide the Services to you, including generating your report, drafting recruiting emails, and, for organization customers, surfacing recruiting activity to your organization coach. We handle your Contributions in accordance with our Privacy Policy.

10. MINORS AND PARENTAL CONSENT

The Services are directed to families of high-school athletes, and many players are minors. If you are under the age of 18 (or the age of majority in your jurisdiction), you may use the Services only with the involvement, consent, and supervision of a parent or legal guardian. A parent or guardian who registers for, or permits a minor to use, the Services agrees to these Legal Terms on the minor's behalf, consents to the collection and processing of the minor's information as described in our Privacy Policy, and is responsible for supervising the minor's use of the Services.

If the player is under the age of 18, the purchasing parent or legal guardian, and not the minor, is the contracting party under these Legal Terms and is solely responsible for payment, account activity, and compliance with these Legal Terms. By purchasing a report or authorizing a minor's use of the Services, the parent or guardian represents that they are at least 18 years old, that they are the player's parent or legal guardian, and that they consent on the minor's behalf to the minor's use of the Services under these Legal Terms.

We do not knowingly allow children under the age of 13 to use the Services or knowingly collect personal information from children under 13 without verifiable parental consent. If you believe a child under 13 has used the Services or provided us personal information, please contact us at business@baseballpath.com and we will take appropriate action.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services may link to other websites ("Third-Party Websites") and may rely on third-party services and content, including Google, Stripe, Supabase, Resend, OpenAI, PostHog, Sentry, Render, and Vercel. We are not responsible for the content, accuracy, or practices of any Third-Party Websites, and inclusion of, linking to, or permitting the use of any Third-Party Website does not imply our endorsement of it. If you access a Third-Party Website or use a third-party service, you do so at your own risk and subject to that party's terms and policies.

12. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms; to take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; to refuse, restrict access to, or disable any of your Contributions; and to otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

13. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from another region with laws governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data processed in the United States.

14. TERM AND TERMINATION

These Legal Terms remain in full force and effect while you use the Services. Without limiting any other provision of these Legal Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation. We may terminate your use or participation in the Services or delete your account and any content or information you posted at any time, without warning, in our sole discretion.

You may terminate your account at any time by contacting us at business@baseballpath.com. Upon termination, your right to use the Services will cease immediately.

15. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services.

16. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Connecticut applicable to agreements made and to be entirely performed within the State of Connecticut, without regard to its conflict of law principles.

17. DISPUTE RESOLUTION

You agree to first try to resolve any dispute, claim, or controversy arising out of or relating to these Legal Terms or the Services informally by contacting us at business@baseballpath.com. If a dispute cannot be resolved informally, you and BaseballPath agree that any dispute will be resolved exclusively in the state or federal courts located in Connecticut, and you consent to the personal jurisdiction of those courts. You agree that any claim you may have arising out of or related to your relationship with us must be filed within one year after the claim accrues, meaning one year after you knew or reasonably should have known of the facts giving rise to it; otherwise, your claim is permanently barred to the fullest extent permitted by law. If a court holds any part of this section unenforceable as to a given claim or jurisdiction, including the one-year period, that part is severed only as to that claim or jurisdiction, and the remainder of this section remains in full force.

18. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, INCLUDING ANY REPORT, PROJECTION, TIER, RANKING, MATCH, OR RECRUITING OUTCOME. THE SERVICES DO NOT GUARANTEE ANY RECRUITING, SCHOLARSHIP, ROSTER, ADMISSION, OR OTHER RESULT. WE ARE NOT AFFILIATED WITH THE NCAA, NAIA, NJCAA, OR ANY COLLEGE OR UNIVERSITY.

20. LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX-MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR, WHERE THE SERVICES WERE PROVIDED FREE OF CHARGE, ONE HUNDRED US DOLLARS (USD $100.00). SOME STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) your use of the Services; (3) your breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including intellectual property rights; or (6) the content of any email you choose to send using the Services, including any violation of anti-spam or other applicable laws.

22. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data. Our handling of your personal data is described in our Privacy Policy.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.

24. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to others at any time. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
